1. ACCEPTANCE OF TERMS

These Terms and Conditions (“Terms”) govern the use of the website https://responde24.com and the intelligent messaging platform of Responde 24 (the “Service”).
By registering, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you are using the Service on behalf of a company or entity, you represent that you have the authority to bind that entity to these Terms.


2. PARTIES

Responde 24 is the trade name of the platform.
The development, management, and maintenance of the Service are handled by Ploceus Technologies SRL (“Ploceus”), with operations in the Dominican Republic and the United States.
In these Terms, the words “we”, “our”, or “the Platform” refer collectively to Responde 24 and Ploceus Technologies SRL.


3. DESCRIPTION OF THE SERVICE

The Service is an automated intelligent messaging platform for customer service, designed primarily for businesses and entrepreneurs.
It allows users to manage conversations, automate responses, centralize communication channels, and optimize customer support.
Some features depend on third-party services, including OneSignal, Pusher, Google Analytics, and messaging channels such as WhatsApp, Facebook, Telegram, and Instagram.


4. USER REGISTRATION AND ACCOUNTS

  1. To access the Service, you must create an account and provide accurate, current, and complete information.

  2. You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account.

  3. We reserve the right to suspend or terminate accounts in cases of misuse, fraud, or violation of these Terms, or if illegal activity is suspected.


5. PLANS, PAYMENTS, AND BILLING

  1. Responde 24 may offer both free and paid subscription plans.

  2. Accepted payment methods include credit or debit cards, PayPal, and bank transfers (offline).

  3. Pricing, billing periods, and applicable fees will be displayed at the time of purchase.

  4. External APIs or third-party services (such as artificial intelligence providers, notification systems, or messaging APIs) may generate additional costs that are not included in Responde 24’s pricing.
    The client acknowledges and agrees to pay such providers directly, under their respective terms.

  5. Taxes may be applied according to the laws of the Dominican Republic or the United States, as applicable.

  6. In the event of non-payment, Responde 24 may temporarily suspend access until payment is settled.


6. ACCEPTABLE USE

You agree to use the Service only for lawful purposes and in accordance with these Terms.
The following actions are strictly prohibited:

  • Using the Service to send spam, fraudulent, or misleading content.

  • Posting or transmitting offensive, defamatory, or unlawful material.

  • Attempting to hack, reverse engineer, or disrupt the Platform.

  • Compromising the security, stability, or integrity of the system.
    Violation of these rules may result in immediate suspension or termination of your account.


7. INTEGRATIONS AND THIRD-PARTY SERVICES

Responde 24 integrates with third-party platforms such as WhatsApp, Facebook, Telegram, and Instagram, as well as technical services like OneSignal, Pusher, and Google Analytics.
Your use of these integrations is subject to the terms and privacy policies of the respective providers.
Responde 24 is not responsible for failures, interruptions, or policy changes affecting third-party services.


8. INTELLECTUAL PROPERTY

  1. All software, content, design, logos, and materials associated with Responde 24 are the property of Ploceus Technologies SRL or its licensors.

  2. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

  3. You retain ownership of your own content but grant Responde 24 a license to host, process, and display it as needed to operate the Service.


9. ARTIFICIAL INTELLIGENCE AND AUTOMATION

Responde 24 may include AI-powered and automated functionalities.
The outputs generated automatically may contain inaccuracies, and users are responsible for reviewing any critical information before use.
Certain AI features may involve additional costs billed by external providers, which are the client’s sole responsibility.


10. AVAILABILITY, SUPPORT, AND CHANGES

  • Responde 24 strives to maintain continuous availability but cannot guarantee uninterrupted operation.

  • The platform may undergo improvements or modifications without prior notice if deemed necessary.

  • Technical support is available via soporte@responde24.com.

  • When possible, users will be notified in advance of scheduled maintenance or updates.


11. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Responde 24 and Ploceus Technologies SRL shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including data loss, lost profits, or business interruption.
The total liability of Responde 24, if any, shall not exceed the total amount paid by the user in the three (3) months preceding the event that gave rise to the claim.


12. INDEMNIFICATION

You agree to indemnify and hold harmless Responde 24 and Ploceus Technologies SRL from any claim, loss, or damage resulting from your misuse of the Service, violation of these Terms, or infringement of third-party rights.


13. SUSPENSION AND TERMINATION

Responde 24 reserves the right to suspend or terminate access to the Service if these Terms or applicable laws are violated.
Users may cancel their accounts at any time by written notice.
Refunds are not guaranteed unless required by law or expressly agreed by both parties.


14. GOVERNING LAW AND JURISDICTION

These Terms are governed by the laws of the Dominican Republic and/or the United States, depending on the client’s jurisdiction.
Any dispute shall be submitted to the competent courts of either Ploceus Technologies SRL’s or the client’s domicile, as applicable.


15. CHANGES TO THESE TERMS

Responde 24 reserves the right to amend these Terms at any time.
Updates will be published on the website with an effective date.
Continued use of the Service after any modification constitutes acceptance of the updated Terms.
